1. Acceptance of Terms

By accessing the CanBioLab website, submitting sample submission forms, requesting testing services, or utilizing verified Certificates of Analysis (COAs), you (“Client”, “User”, or “Organization”) agree to be bound by these Terms of Service and all applicable Canadian federal, provincial, and local laws and regulations. If you do not agree with any portion of these terms, you are prohibited from utilizing our services or website.

2. Scope of Analytical Services

CanBioLab provides contract bio-analysis, High-Performance Liquid Chromatography (HPLC), Mass Spectrometry (LC-MS/MS), Heavy Metal screening (ICP-MS), and related testing for research chemicals, raw materials, and analytical standards.

• Non-Clinical Scope: Test results provided by CanBioLab do not constitute medical, clinical, veterinary, or regulatory approval.
• No Human Use Intended: Samples submitted to CanBioLab must not be represented, marketed, or used for human consumption, therapeutic drug administration, clinical trials, or cosmetic application.
• Third-Party Autonomy: CanBioLab maintains strict objective independence and does not alter, falsify, or tailor analytical findings for commercial advantage.

3. Sample Submission, Handling & Ownership

Clients submitting physical chemical samples or reference substrates to CanBioLab agree to the following terms:

• Chain of Custody: All samples must be accompanied by an accurate and complete Chain of Custody (CoC) submission document.
• Sample Integrity & Safety: Clients warrant that submitted samples are legally possessed, accurately declared, and properly packaged according to hazardous material transport guidelines. CanBioLab reserves the right to refuse hazardous, illegal, or improperly declared samples.
• Sample Consumption & Destruction: Testing inherently consumes portions or the entirety of submitted samples. CanBioLab is under no obligation to return excess sample material unless prior written arrangements have been agreed upon. Unused sample portions will be safely disposed of in accordance with Canadian environmental waste standards.

4. Certificates of Analysis (COAs) & Intellectual Property

All test reports, chromatograms, spectrum data, and official COAs generated by CanBioLab remain the intellectual property of CanBioLab. Upon full payment of testing fees, the Client is granted a non-exclusive license to use and present the generated COA for quality assurance and verification purposes.

Clients and third parties may NOT alter, edit, redact, or manipulate any CanBioLab report, logo, signature, or data field. Verification of authentic reports must be conducted through the official CanBioLab verification system.

5. Fees, Turnaround Times & Cancellations

Testing fees are billed based on the current service rate schedule or custom quotation. Quoted turnaround times (e.g., 3–5 business days) represent target estimates and begin once the physical sample is received and logged at our laboratory facility. CanBioLab is not liable for delay caused by shipping couriers, sample re-runs required for quality validation, or force majeure events.

6. Limitation of Liability & Warranties

CanBioLab warrants that all analytical services are performed in good faith using standard, validated scientific methods and calibrated instrumentation. EXCEPT AS EXPRESSLY PROVIDED, CANBIOLAB MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

In no event shall CanBioLab, its directors, officers, chemists, or employees be liable for any indirect, incidental, consequential, or punitive damages arising from the use, misuse, or interpretation of analytical data or test reports.

7. Governing Law & Canadian Jurisdiction

These Terms of Service and any contractual agreements between the Client and CanBioLab shall be governed by, construed, and enforced in accordance with the federal laws of Canada and the laws of the Province of Ontario, without giving effect to conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts of competent jurisdiction located in Canada.

8. Modifications to Terms

CanBioLab reserves the right to revise or update these Terms of Service at any time without prior notice. Continued use of our website or analytical services following any updates constitutes acceptance of those revisions.
